By accessing or using this website ("Site") or engaging any service from Portfolio (a trade name of Portfolio), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Site.
Services
Portfolio provides software consulting, engineering services, and related deliverables as described on the Site or in a separate statement of work. All engagements are subject to availability and written confirmation.
Fees
Fees for consulting engagements are agreed upon in writing before work begins. Payment terms are outlined in the applicable statement of work.
Intellectual Property
Upon full payment, you receive a non-exclusive, perpetual license to all custom code and deliverables produced under your engagement. Pre-existing libraries, frameworks, and open-source components retain their original licenses. Site content, design assets, and writing are © Portfolio and may not be copied for resale without written permission.
Warranty Disclaimer
The Site and all services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Portfolio does not guarantee uninterrupted availability or that consulting deliverables will achieve specific business outcomes.
Limitation of Liability
To the maximum extent permitted by law, Portfolio's total liability arising out of or related to these Terms or any service shall not exceed the total fees you paid to Portfolio in the twelve (12) months preceding the claim. In no event shall Portfolio be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data.
Indemnification
You agree to indemnify and hold harmless Portfolio and its members from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Site, breach of these Terms, or violation of any third-party rights.
Modifications
We may update these Terms at any time. Continued use of the Site after changes constitutes acceptance of the updated Terms. Material changes will be noted by updating the "Last updated" date above.
Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any dispute arising under these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, either party may pursue binding arbitration under the rules of the American Arbitration Association, with proceedings held in Pennsylvania.
